Terms of Service

1. Description of Service

Nearside Systems LLC ("Nearside") operates a talent matching platform that connects remote professionals in Latin America ("Candidates") with U.S. and Canadian companies ("Clients"). Nearside evaluates Candidate profiles using AI-assisted tools and, where appropriate, facilitates employment through authorized Employer of Record (EOR) providers. Submitting an application does not guarantee placement or employment.

2. Candidate Eligibility

To apply, you must:
  • Be 18 years of age or older
  • Reside in a country where Nearside operates
  • Have the legal right to work in your country of residence

3. Candidate Obligations

By submitting an application, you agree to:
  • Accuracy: Provide truthful, accurate, and complete information. Misrepresentation of your skills, experience, or identity may result in immediate removal from the talent pool.
  • Conduct: Engage professionally with Nearside staff and, if matched, with Client companies.
  • Availability: Honor stated availability. If your availability changes significantly after application, notify Nearside promptly at contact@nearside.pro.
  • No direct solicitation: If introduced to a Client through Nearside, you may not circumvent Nearside to negotiate or accept employment directly with that Client outside of Nearside's process for a period of 12 months.

4. Data Ownership

All candidate data submitted through the application — including profile responses, video recordings, and assessment results — becomes part of the Nearside platform. Nearside uses this data to operate its matching and evaluation services. Candidates retain the right to request deletion of their data as described in the Privacy Policy. Nearside retains ownership of derivative works such as AI-generated profiles, match scores, and evaluation summaries.

5. No Employment Guarantee

Submitting an application and being accepted into the Nearside talent pool does not constitute an offer of employment, a contract of employment, or a guarantee of placement. Nearside makes no representations regarding the availability of Client opportunities or the likelihood of a successful match.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Nearside shall not be liable for:
  • Loss of income, opportunity, or profits resulting from non-placement
  • Actions or decisions of Client companies after a match is made
  • Technical interruptions, data loss, or delays in evaluation
  • Any indirect, incidental, or consequential damages arising from use of the platform
Nearside's total liability to any Candidate shall not exceed USD $100.

7. Modifications

Nearside may update these Terms at any time. Material changes will be communicated via email to your registered address. Continued use of the platform after notification constitutes acceptance of the updated Terms.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
